Key Responsibilities

  • Administrative Support
  • Assist in the draft, and proofreading of legal documents, contracts, and correspondence.
  • Organize and maintain physical and digital legal files, records, and documentation.
  • Coordinate meetings, hearings, and appointments for the legal team.
  • Compliance and Documentation
  • Assist in reviewing contracts and agreements to ensure adherence to banking laws and internal policies.
  • Monitor legal and regulatory updates relevant to the banking industry.
  • Research and Analysis
  • Conduct legal research on relevant laws, regulations, and precedents affecting banking operations.
  • Provide summaries and reports to assist the legal team in decision-making 4. Coordination and Communication
  • Liaise with external legal counsel, government agencies, and other departments regarding legal matters.
  • Respond to basic inquiries and requests for legal assistance from internal teams.
  • Corporate Governance
  • Prepare and maintain accurate minutes of Board of Directors meetings, Stockholders' meetings, and other key corporate meetings.
  • Ensure compliance with statutory requirements, such as filing the General Information Sheet (GIS) and other corporate filings with the Securities and Exchange Commission (SEC).
  • Assist in drafting and maintaining corporate resolutions, policies, and other governance-related documents.
  • Assists in preparing materials related to tasks or assignments handled by the Corporate Secretary / Legal head particularly in support of Board and committee meetings, including recording the proceedings.
  • Notifies scheduled Board or committee meetings and provides instructions to submit items for inclusion in the meeting agenda.
  • Prepares meeting minutes, agendas, secretary’s certificates, and other related documents.
  • Ensures proper safekeeping and organization of files related to Board Meetings and Management Committee Meetings.

Qualifications

  • Familiarity with Philippine banking laws and regulations, including BSP guidelines, is a plus.
  • Proficiency in Microsoft Office applications and legal management software.
  • Strong written and verbal communication skills in English and Filipino.
  • High level of organizational skills and attention to detail.
  • Ability to work independently and manage multiple tasks efficiently
