About The Role

As Junior Corporate Secretary (CorSec) Officer, you will provide assistance to the Senior Corsec Officer or the Assistant Corporate Secretary/Corporate Secretary for the subsidiaries and affiliates in the corporate housekeeping activities by being responsible for logistics support for meetings of the stockholders, directors, and committees constituted by the Board of Directors. It also includes preparation of the standard regulatory reports.

How You'll Contribute

  • Maintains the records of shareholders for the bank and/or its subsidiaries
  • Liaises with stockholders and the stock transfer agent. If there is no stock transfer agent, the unit acts as one; Conducts maintenance of shareholdings and issuance of stock certificates
  • Fixes logistics requirements for meetings of the stockholders, the Board, and Board-related Committees (e.g. scheduling of meetings, preparation of agenda items and minutes of the meeting, stamping of documents, maintenance of files and materials, etc.)
  • Drafts minutes and prepares an action item list of the matters arising from the minutes for review of the Assistant Corporate Secretary on a timely basis
  • Prepares Board Resolutions and Secretary’s Certificates as may be required by the various units
  • Prepares accurate regulatory reports to the SEC, BSP, etc. and liaison with the regulators when necessary on a timely basis
  • Addresses general and AML/KYC related queries on corporate information in relation to governance (board) and shareholdings
  • Safekeeps constitutional documents such as Articles of Incorporation, By Laws, General Information Sheet, secondary licenses, etc and maintain repository of corporate documents
  • Covers ExCom, SBM Leasing, Inc., SB Rental Corporation, and other non-active or non-operational subsidiaries
  • Responsible for compliance with internal requirements for the Office of the Corporate Secretary
  • Processes directors per diem and validates invoices for payment
  • Other related tasks which may be assigned from time to time

What We're Looking For

  • Bachelor's degree
  • At least 3 years of work experience in corporate secretarial, paralegal, and/or regulatory function
  • Familiarity with the key provisions of the Revised Corporation Code, Securities Regulation Code, and other relevant BSP Circulars relating to the Board and stockholders
  • Understands the rules of AML/KYC to adequately address queries
  • Good to excellent in the following skills: Verbal and Written communication skills, organizational skills, process management skills, and time management skills
