What you'll be doing:

The role holder will be responsible for the overall direction of the Legal function at Avon Philippines. Primarily engaged in providing quality legal services across the full range of legal topics and supporting the leadership, business managers and operational managers to ensure that all business units of Avon Philippines is conducted in a legally compliant and effective manner in accordance with the group’s policies and applicable laws.

Key responsibilities:

Legal Services

As part of the senior leadership team of Avon Philippines provides strategic inputs and value-added counselling to all aspects of the business.

Overall responsibility for providing quality legal services across the full range of legal topics and supporting the leadership, business managers and operational managers to ensure that Natura &Co’s businesses in the Philippines are conducted in a legally compliant and effective manner in accordance with the group’s policies and applicable laws.

Generate and review all commercial / contractual agreements, including without limitation employment agreements, joint promotion agreements, sponsorship agreements, consultancy agreements, licensing agreements, and marketing services agreements. Assist business managers in negotiating and finalizing agreements with third parties.

Protecting the image and reputation of the group by ensuring compliance to legal and policy requirements and through suitable interactions and interventions with governmental bodies and the legal system. Work in partnership with the Regulatory team, ensuring compliance with regulatory requirements of government agencies.

Overseeing all legal services in the group and ensuring the successful culmination, in favor of the group, of all applications, litigation, arbitration and other legal cases.

Provide legal training to internal departments and advise concerned department on pertinent regulatory requirements. In close coordination with Compliance Team, ensure compliance with internal controls and the Code of Business Conduct and Ethics and implementation of group policies in the Philippines.

Coordinating with external retained counsel ensuring correct briefing and tracking & reviewing all on-going legal matters and managing external counsel budget and expenditures.

Keep abreast of all legal, legislative and regulatory developments. Ensure that proper policies, procedures and processes are in place to assure the group has proper governance and is in legal compliance. Lead and manage on changes in the law impacting the territory across all multi-channel business (retail, direct selling, franchise and ecommerce B2C and B2B) at local level.

Be legal lead on all critical and crisis matters across the territory. Actively participating in crisis management preparedness and management.

Legal support on all transformation, outsource and insource service projects and all strategic projects. This will include negotiations, drafting and the creation and support to final form agreements.

Accountable and provide updates on legal matters impacting risk matrix, provisions and legal group updates.

Create effective management within the legal department and build an effective way of working between the legal department and other functions in the company,

Manage litigation files. Accountable for local settlement negotiations, strategy.

Advise on day to day Data privacy, antitrust and commercial matters within the territory across multi-channel business and brands.

Government / External Affairs

Monitor legislative and policy developments at national and state/provincial level and actively advise on actions needed to address potential threats and opportunities. Implement and execute short to long term strategies to address such threats and opportunities.

Interfacing with governmental and industry stakeholders to manage regulatory risks and influences the regulatory and business environment in favor of the group

Works closely with the Head of Communications in dealing with areas that may impact the company’s image internally or externally. Protecting the image and reputation of the company would be a key aspect of the role.

Build and maintain a strong network within governmental and industry bodies through active involvement with industry associations and government advisory committee.

Represent the group in government / industry bodies and their meetings.

Company Secretarial

Supervise the Company Secretarial function of the group in the Philippines, including interfacing with regulatory authorities.

May be required to hold certain official position for companies in the Philippines.

Responsible for providing all statutory reports required by the company law board and other regulatory authorities.

Overall responsibility for ensuring compliance to all statutory regulations governing the group’s operations in the Philippines.
