Junior Lawyer
Roxas & Company, Inc.
(a) Reviews and applies laws, policies, and related jurisprudence in relation to issues and/or cases being handled;
(b) Prepares legal opinion and memorandum;
(c) Handles cases, litigation or otherwise, for and on behalf of the Company and its affiliates, including:
- Representing RCI and its subsidiaries and affiliates in hearings
- Represents RCI and its subsidiaries in negotiating compromise agreements
- Prepares pleadings, motions, manifestations, comments, Petitions, and other court submissions
(d) Monitors cases being handled by external counsels;
(e) Represents the Company and/or its affiliates during negotiations of contract;
(f) Drafts/prepares and reviews contracts, service agreements, and other legal documents including preparing amendments and supplements thereto, such as:
- Contracts to Sell
- DOAS
- Demand letters, Reminder Letters, Notarial Cancellation and other template documents of Credit and Collection
- Service Contracts with contractors, consultants, etc.
- Quitclaims, Indemnity Agreements, MOAs
(g) Drafts and reviews letters and correspondences to clients and third parties;
(h) Represents RCI and its subsidiaries in Joint Venture Companies by drafting, negotiating, and reviewing contracts, preparing for Board and Stockholders’ Meeting; and documenting records of said JV Companies;
(i) Assists in securing permits and licenses;
(j) Performs corporate housekeeping duties, including:
- Acts as Corporate Secretary
- Preparing GIS
- Issuing Sec. Certs.
- Preparing Minutes of the Committee, Board, and Stockholders’ Meeting
- Complying with all corporate requirements that need the approval of SEC and PSE
- Incorporating of corporations
(k) Reviews and assists in preparing policies and manuals for other departments.
- Conduct due diligence
- Assists in Administrative Proceedings and/or Hearings
- All other duties that may be assigned from time to time
Competencies required:
Knowledge of the law
Knowledge, skill, and experience in drafting contracts, pleadings, motions, and legal communication
Experience in attending hearings before the HSAC, NLRC, and the regular courts
Experience in dealing with officers/employees of government agencies/offices
Ability to provide independent advice (orally and in writing) on highly technical matters;
Demonstrate success in managing and conducting a variety of litigation matters;
Good planning and organization skills; and
Proven ability to delicately solve sensitive matters.
